In certain cases, there is a statutory right of first refusal in favor of the municipality for the purpose of securing its urban land-use planning. A distinction is made between the so-called "general" and the "special" pre-emptive right. In order to conclude a property purchase agreement, a declaration from the municipality regarding the existence and exercise of the pre-emptive right (or its waiver) is required. If the municipality does not exercise the pre-emptive right, it will issue a so-called pre-emptive right waiver declaration (negative certificate), which is requested from the municipality by the certifying notary and is subject to a fee. Land registries may only enter property purchase agreements in the land register if a so-called negative certificate has been issued.
